Terms of Service

These terms cover your use of ZapBooks. By creating an account or using the service you agree to them.

ZapBooks is operated by Everyday Software LLC. In these terms, “we” and “us” mean Everyday Software LLC, and “you” means the individual or business using the service.

The service

ZapBooks connects to a mailbox you authorise, identifies invoices and bills in it, extracts structured data from them, and writes records into an accounting system you authorise.

ZapBooks does not move money, initiate payments or act as a payment processor. Payment of your suppliers remains entirely your responsibility and happens outside ZapBooks.

Accounts

  • You must provide accurate account information and keep it current.
  • You are responsible for activity under your account and for keeping your credentials secure.
  • You must be authorised to connect the mailbox and accounting systems you connect. If they belong to an employer or client, you confirm you have permission.
  • You must be at least 18 years old and able to enter a binding contract.

Free trial

New accounts get a 14-day free trial with no credit card required. At the end of the trial, access to paid features stops unless you subscribe. We do not automatically charge you at the end of a trial.

Subscriptions, billing and cancellation

  • Plans are billed monthly in advance at the price shown on the pricing page at the time you subscribe.
  • Subscriptions renew automatically each period until cancelled.
  • You can cancel at any time. Cancellation takes effect at the end of the current billing period and there are no cancellation fees.
  • We do not provide refunds for partial periods, except where required by law.
  • If we change prices, existing subscribers get at least 30 days notice before the change applies to their subscription.
  • Failed payments may result in suspension after we have attempted to contact you.

Your data

You own your data. That includes the documents processed through ZapBooks and the structured data extracted from them.

You grant us the limited licence needed to operate the service: to access, process, store and transmit your data for the purpose of providing ZapBooks to you.

You can export your data at any time while your account is active. After cancellation your data remains accessible for 90 days, then is deleted. See the Privacy Policy for the detail.

Acceptable use

You may not use ZapBooks to:

  • Break any law, or process documents you do not have the right to process.
  • Connect a mailbox containing data you are not authorised to share with a third-party processor, including protected health information or other regulated categories not appropriate to an invoicing tool.
  • Attempt to access other customers' data, or to probe, scan or test the security of the service without written permission.
  • Reverse engineer the service, or use it to build a competing product.
  • Resell or sublicense access without a written agreement with us.
  • Send automated traffic that degrades the service for others.

Accuracy and your responsibility to review

ZapBooks uses automated extraction, which is highly accurate but not perfect. You are responsible for reviewing extracted data before relying on it, and for approving records before they post to your accounting system.

We are not responsible for financial, tax or accounting decisions made on the basis of extracted data, for payments made in error, or for the accuracy of your books. ZapBooks is a tool, not an accountant.

Third-party services

ZapBooks connects to services operated by others, including Google, Microsoft, Intuit and Xero. Your use of those services is governed by their own terms. We are not responsible for their availability, changes to their APIs, or actions they take on your account.

Availability

We aim to keep ZapBooks available and reliable, but we do not guarantee uninterrupted service. We may perform maintenance, and we may need to suspend the service to address a security issue. Where planned maintenance will cause downtime, we will give notice where practicable.

Warranties

ZapBooks is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Nothing in these terms excludes liability that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

Our total aggregate liability arising out of or relating to these terms or the service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim.

Suspension and termination

You may stop using ZapBooks and cancel at any time.

We may suspend or terminate an account that breaches these terms, that we reasonably believe presents a security or legal risk, or that is materially overdue on payment. Where practicable we will give notice and an opportunity to fix the problem first.

Changes to these terms

We may update these terms. Material changes will be notified to account holders by email at least 30 days before taking effect. Continuing to use ZapBooks after that means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law rules. Disputes will be brought in the state or federal courts located in Illinois, and both parties consent to that jurisdiction.
